PRĪVIT TERMS AND CONDITIONS

WELCOME TO PRĪVIT

Thank you for choosing PRĪVIT. These Terms and Conditions ("Terms") govern your use of the PRĪVIT mobile application, website, and services. Please read them carefully.

 

By accessing or using PRĪVIT's services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

1. DEFINITIONS

1.1 "PRĪVIT," "we," "us," or "our" refers to PRĪVIT and its affiliates, subsidiaries, and related entities.

 

1.2 "User," "you," or "your" refers to any person or entity who accesses or uses our services.

 

1.3 "Services" refers to the PRĪVIT mobile application, website, event ticketing platform, community features, and all related services, tools, and features we provide.

 

1.4 "Member" refers to a User who has been approved for and maintains an active PRĪVIT membership.

 

1.5 "Content" refers to text, images, videos, audio, links, data, and any other materials displayed on or through our Services.

 

1.6 "User Content" refers to Content that Users submit, upload, post, or transmit through our Services.


1.7 "Events" refers to gatherings, experiences, activities, and occasions organized or promoted through PRĪVIT.

2. ACCEPTANCE OF TERMS

2.1 Agreement to Terms

 

By creating an account, accessing our Services, or using any feature of PRĪVIT, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

 

2.2 Changes to Terms

 

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the app. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

 

2.3 Additional Terms

 

Certain features of our Services may be subject to additional terms and conditions, which will be presented to you when you access those features.

3. ELIGIBILITY

3.1 Age Requirement

 

You must be at least 21 years old to use our Services. By using PRĪVIT, you represent and warrant that you are 21 years of age or older.

 

3.2 Authority

 

You represent that you have the authority to enter into these Terms on behalf of yourself or any entity you represent.

 

3.3 Prohibited Persons

 

You may not use our Services if:

 

  • You have been previously suspended or removed from PRĪVIT

  • You are prohibited by law from receiving or using our Services

  • You do not meet our membership criteria

5. MEMBERSHIP FEES AND PAYMENT

5.1 Paid Membership

 

Access to certain features and events requires a paid membership. Membership fees are displayed in the app and on our website.

 

5.2 Payment Authorization

 

By providing a payment method, you:

 

  • Authorize us to charge all fees associated with your membership and event purchases

  • Represent that you are authorized to use the payment method

  • Agree to pay all applicable taxes

 

5.3 Billing Cycles

 

Memberships are billed on a recurring basis (monthly or annually) unless you cancel. Your payment method will be charged automatically at the beginning of each billing period.

 

5.4 Price Changes

 

We reserve the right to change membership fees at any time. We will notify you of price changes at least 30 days before they take effect. Your continued use of paid membership after a price change constitutes acceptance of the new price.

 

5.5 Refund Policy

 

All membership fees and event ticket purchases are non-refundable except:

 

  • As required by law

  • In cases of event cancellation (see Section 7)

  • At our sole discretion for exceptional circumstances

 

5.6 Failed Payments

 

If a payment fails, we may:

 

  • Retry the payment

  • Suspend your membership benefits until payment is received

  • Terminate your membership after repeated failed payments

6. EVENT TICKETS AND ATTENDANCE

6.1 Ticket Purchases

 

Event tickets may be purchased through the app. By purchasing a ticket, you agree to:

 

  • Provide accurate attendee information

  • Comply with event-specific terms and requirements

  • Attend only events for which you hold valid tickets

 

6.2 Ticket Terms

 

Unless otherwise specified:

 

  • Tickets are non-transferable

  • Tickets are non-refundable

  • One ticket admits one person to one event

  • Tickets may not be resold or used for commercial purposes

  • We reserve the right to refuse admission or remove attendees

 

6.3 Member Discounts

 

Paid Members receive discounts on event tickets as specified in their membership tier. Discounts apply only to tickets purchased through your Member account.

 

6.4 RSVP and Capacity

 

Some events require RSVP. Event capacity is limited. RSVPs do not guarantee admission if capacity is reached.

7. EVENT CANCELLATIONS AND CHANGES

7.1 Our Right to Cancel or Modify

 

We reserve the right to cancel, postpone, or modify any event for any reason, including but not limited to:

 

  • Weather conditions

  • Venue unavailability

  • Insufficient registrations

  • Safety concerns

  • Force majeure events

 

7.2 Notice of Cancellation

 

We will make reasonable efforts to notify you of event cancellations or significant changes via email or app notification.

 

7.3 Refunds for Cancellations

 

If we cancel an event:

 

  • Full refunds will be issued for paid tickets

  • No refund is required for free events

  • We are not responsible for any travel, lodging, or other expenses you incur

 

7.4 No Guarantee

 

We do not guarantee that any particular event will take place or that events will occur with any specified frequency.

8. USER CONDUCT

8.1 Acceptable Use

 

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

 

8.1.1 Prohibited Activities

 

  • Violate any local, state, national, or international law

  • Infringe intellectual property rights of others

  • Transmit viruses, malware, or harmful code

  • Interfere with or disrupt our Services or servers

  • Attempt unauthorized access to our systems

  • Use automated tools (bots, scrapers) without permission

  • Impersonate any person or entity

  • Harass, threaten, or harm others

  • Spam or send unsolicited communications to other Users

 

8.1.2 Prohibited Content

 

  • Post false, misleading, or fraudulent information

  • Post defamatory, obscene, or offensive content

  • Post content that promotes violence, illegal activity, or discrimination

  • Post content that violates others' privacy rights

  • Post sexually explicit content or pornography

  • Post content related to minors in any inappropriate context

 

8.2 Community Standards

 

PRĪVIT is a professional community. We expect all Members to:

 

  • Treat others with respect and professionalism

  • Engage authentically and in good faith

  • Contribute positively to the community

  • Report violations of these Terms or community standards

 

8.3 Event Conduct

 

When attending events, you agree to:

 

  • Behave professionally and respectfully

  • Follow venue rules and instructions from staff

  • Not engage in disruptive, dangerous, or illegal behavior

  • Leave events if asked to do so by staff

  • Respect other attendees' personal space and boundaries

9. USER CONTENT

9.1 Your Content

 

You retain ownership of User Content you post through our Services. However, by posting User Content, you grant PRĪVIT a worldwide, non-exclusive, royalty-free, transferable license to:

 

  • Use, reproduce, and display your User Content

  • Modify and create derivative works from your User Content

  • Distribute and perform your User Content

  • Use your name, image, and likeness in connection with your User Content

 

This license continues even after you stop using our Services, for Content you posted while using our Services.

 

9.2 Content Restrictions

 

You represent and warrant that your User Content:

 

  • Does not violate these Terms

  • Does not infringe any third party rights

  • Complies with all applicable laws

  • You have all necessary rights to post the Content

 

9.3 Content Moderation

 

We reserve the right to:

 

  • Remove or modify any User Content at any time without notice

  • Screen User Content before it appears on our Services

  • Monitor User Content for violations

  • Report illegal content to authorities

 

We are not obligated to monitor User Content but reserve the right to do so.

 

9.4 Feedback

 

If you provide feedback, suggestions, or ideas about our Services, we may use them without any obligation to compensate you.

10. INTELLECTUAL PROPERTY

10.1 Our Rights

 

The Services and all Content provided by PRĪVIT (excluding User Content) are protected by copyright, trademark, patent, and other intellectual property laws. This includes:

 

  • The PRĪVIT name, logo, and branding

  • The app design, layout, and features

  • Text, images, and videos we create

  • Software code and algorithms

 

10.2 Limited License

 

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes, subject to these Terms.

 

10.3 Restrictions

 

You may not:

 

  • Copy, modify, or create derivative works of our Services

  • Reverse engineer or decompile any aspect of our Services

  • Remove or alter any copyright or proprietary notices

  • Use our trademarks or branding without written permission

  • Frame or mirror any part of our Services

  • Use our Services to develop competing products

 

10.4 Third Party Content

 

Our Services may include content provided by third parties. We do not endorse or assume responsibility for third party content.

11. PRIVACY AND DATA PROTECTION

11.1 Privacy Policy

 

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our Privacy Policy.

 

11.2 Communications

 

By creating an account, you consent to receive communications from us via:

 

  • Email

  • Push notifications

  • In-app messages

  • Text messages (if you provide your phone number)

 

You may opt out of marketing communications but cannot opt out of service-related communications.

 

11.3 Photography and Video

 

PRĪVIT events may be photographed or recorded. By attending events, you consent to being photographed or recorded and grant PRĪVIT the right to use such images and recordings for promotional purposes.

12. THIRD PARTY SERVICES

12.1 Third Party Integrations

 

Our Services may integrate with third party services (payment processors, social media platforms, etc.). Your use of third party services is subject to their terms and privacy policies.

 

12.2 Third Party Venues

 

Events may be held at third party venues. Venue rules and terms apply when you attend events at those locations.

 

12.3 No Endorsement

 

Our integration with or mention of third party services does not constitute an endorsement. We are not responsible for third party services or content.

13. DISCLAIMERS

13.1 AS-IS Basis

 

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

 

  • Warranties of merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy, reliability, or completeness

  • Uninterrupted or error-free operation

 

13.2 No Guarantee of Results

 

We do not guarantee that:

 

  • Our Services will meet your expectations

  • Events will occur as scheduled

  • You will make professional connections

  • You will achieve any particular outcome from using our Services

 

13.3 Content Disclaimer

 

We do not control User Content and are not responsible for its accuracy, legality, or appropriateness. User Content does not reflect our views.

 

13.4 Event Disclaimer

 

We are not responsible for:

 

  • The conduct of event attendees

  • The quality of event venues or services

  • Injuries or damages that occur at events

  • Loss or theft of personal property at events

14. LIMITATION OF LIABILITY

14.1 Limitation

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRĪVIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

 

  • Any indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or goodwill

  • Service interruptions or system failures

  • Deletion or corruption of content

  • Unauthorized access to your account

  • Statements or conduct of third parties

 

WHETHER ARISING FROM:

 

  • Use or inability to use our Services

  • Event cancellations or changes

  • Interactions with other Users

  • Any other matter relating to our Services

 

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

14.2 Maximum Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO OUR SERVICES SHALL NOT EXCEED THE GREATER OF:

 

  • $100 USD

  • The amount you paid to PRĪVIT in the 12 months before the claim arose

 

14.3 Essential Purpose

 

These limitations are essential to the agreement between you and PRĪVIT. Our Services would not be provided without these limitations.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PRĪVIT and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

 

  • Your use of our Services

  • Your violation of these Terms

  • Your User Content

  • Your violation of any rights of others

  • Your conduct at events

 

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

16. DISPUTE RESOLUTION

16.1 Informal Resolution

 

Before filing a claim, you agree to contact us at [info@privitevent.com] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

 

16.2 Arbitration Agreement

 

YOU AND PRĪVIT AGREE THAT ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT:

 

  • You may assert claims in small claims court if they qualify

  • Either party may seek injunctive relief in court for infringement of intellectual property rights

 

16.3 Arbitration Rules

 

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in [Chicago, Illinois] or another mutually agreed location.

 

16.4 Arbitration Fees

 

If your claim is for less than $10,000, PRĪVIT will pay all arbitration filing fees. Each party will pay their own attorneys' fees unless the arbitrator awards them.

 

16.5 No Class Actions

 

YOU AND PRĪVIT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

 

16.6 Opt-Out Right

 

You may opt out of this arbitration agreement by sending written notice to [info@privitevent.com] within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out. If you opt out, all other terms still apply, but disputes will be resolved in court.

 

16.7 Severability

 

If any part of this arbitration agreement is found invalid or unenforceable, the remainder shall continue in effect. If the class action waiver is found invalid, the entire arbitration agreement is void.

17. GOVERNING LAW AND JURISDICTION

17.1 Governing Law

 

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

 

17.2 Jurisdiction

 

To the extent arbitration does not apply, you agree to submit to the personal jurisdiction of the state and federal courts located in Cook County, Illinois.

 

17.3 International Users

 

If you access our Services from outside the United States, you are responsible for compliance with local laws. We make no representation that our Services are appropriate or available for use in your location.

18. TERMINATION

18.1 Termination by You

 

You may terminate your account at any time by:

We may suspend or terminate your account immediately, without prior notice, if:

 

  • You violate these Terms

  • You engage in fraudulent or illegal activity

  • Your account has been inactive for an extended period

  • We discontinue the Services

18.3 Effect of Termination

 

Upon termination:

 

  • Your right to use our Services ends immediately

  • We may delete your account and User Content

  • Sections that by their nature should survive (liability, indemnification, governing law) will survive termination

  • You remain liable for any obligations incurred before termination

  • No refunds will be issued for unused membership time, except as required by law

19. GENERAL PROVISIONS

19.1 Entire Agreement

 

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and PRĪVIT and supersede any prior agreements.

 

19.2 Waiver

 

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

 

19.3 Severability

 

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

 

19.4 Assignment

 

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms at any time without notice.

 

19.5 No Third Party Beneficiaries

 

These Terms do not create any third party beneficiary rights.

 

19.6 Force Majeure

 

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

 

19.7 Relationship

 

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and PRĪVIT.

 

19.8 Electronic Communications

 

You consent to receive communications from us electronically. Electronic communications satisfy any legal requirement that communications be in writing.

These Terms are drafted in English. If translated, the English version controls in case of conflict.

Under California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice:

Our Services are not directed to children under 21. We do not knowingly collect personal information from children under 21. If you believe a child has provided us with personal information, please contact us immediately.

24. MODIFICATIONS TO SERVICES

We reserve the right to modify or discontinue our Services (or any part or feature thereof) at any time, with or without notice, at our sole discretion. We will not be liable to you or any third party for any modification, suspension, or discontinuance of our Services.

BY USING PRĪVIT'S SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
